Terms and conditions
The agreements that apply when you get a site, API or hosting from us. In plain language, without small print.
Version 1 · 3 November 2026
1. Who we are and when this applies
Emvane is a trade name of Amersan, Chamber of Commerce (KvK) number 42013782, business address [[business address]], hello@emvane.com. In these terms that is "we", and the client is "you".
These terms apply to all our quotes, projects and plans. Other terms only apply if we agree on them together in writing. If you are a consumer, you keep all your statutory rights as well.
2. Quote and project
- A quote is valid for 30 days.
- The quote states a fixed price for the described scope, and what is not included.
- All prices exclude VAT, unless stated otherwise.
- The project starts once you approve (an email is enough) and the deposit has been received.
3. What you supply
- You supply the texts, photos, logo and access (for example to your domain) that are needed.
- You make sure you hold the rights to what you supply, and that it is lawful.
- The delivery time only starts once everything is in. If the content comes later, the planning moves with it.
- If the content is more than 30 days late, we agree on a new planning together. We may then invoice the work already done.
4. Feedback and extra work
- Two rounds of feedback are included in the price.
- Anything outside the agreed scope is extra work, at €55 per hour excluding VAT.
- For extra work you always get an estimate first. We only start after your approval.
5. Payment
- You pay 50% on approval and 50% on delivery. A Start site is paid in full up front.
- Plans are paid monthly or yearly in advance.
- Invoices are due within 14 days.
- If you pay late, we first send a reminder. If payment still doesn't arrive, we may charge statutory interest and collection costs, and after notice pause the work or hosting until payment is made.
6. Delivery
- We deliver when the site or API is live, or ready to go live.
- Errors in our work that you report within 30 days of delivery are fixed at no cost.
- A new wish after delivery is not an error, but extra work.
7. Who owns what
- Your content, such as texts, photos and logo, stays yours.
- After full payment you may use the site and the code without limits, and have it changed, also by someone else.
- General building blocks we use across projects remain ours. You may keep using them for your own site.
- We may show your site in our portfolio, unless you'd rather we didn't. Just let us know.
8. Your domain name
Your domain name is registered in your name. If you like, we manage it for you. That way the domain always stays yours, even if you move elsewhere later.
9. Hosting and maintenance
- We do our best to keep your site or API online at all times, but cannot give a 24/7 guarantee. We plan maintenance outside busy hours where possible.
- For an outage or question we respond within 1 working day on Basic and within 4 working hours on Plus. That is a response, not always an immediate fix. Working days are Monday to Friday, excluding Dutch public holidays.
- The hour of changes on Plus is per month and doesn't roll over.
- A plan runs for at least 12 months. After that you can cancel any month, with one month's notice.
- If your site or API grows a lot, for example through many more visitors or a larger database, the price may go up. We tell you at least one month in advance. You may then cancel as of the date of the new price.
- If you cancel, you get the files of your site, and we help you move.
- We may take content offline that is unlawful or puts the security of our systems at risk. We always let you know.
10. Liability
- Our liability is limited to the invoice amount of the project. For a plan, it is the amount you paid in the 12 months before.
- We are not liable for indirect damage, such as lost revenue or consequential loss.
- These limits don't apply in case of intent or deliberate recklessness on our part.
- We are not liable in case of force majeure, such as a major outage at a hosting provider. We do our best to get your site back as soon as possible.
11. Personal data and confidentiality
- If we process personal data for you, for example through forms or accounts on your site, we sign a data processing agreement together.
- What you tell us about your business stays between us.
- How we handle your own data is described in the privacy policy.
12. Ending a project
- If you stop a project before it's finished, you pay for the work done up to then.
- Either party may end a project immediately if the other goes bankrupt or seriously fails to keep their agreements.
13. Law and disputes
Dutch law applies to our agreements. If something goes wrong, we first look for a solution together. If that fails, the dispute goes to the competent court in the district where Amersan is established.
